Affiliate Partner Program Terms & Conditions

1. Agreement to Terms

By registering for the ChatifyIT Affiliate Partner Program (the "Program"), you ("Affiliate," "You") agree to be bound by these Terms & Conditions (the "Agreement"). This Agreement is a legal contract between Leveraging AI, LLC, a Florida limited liability company ("ChatifyIT," "We," "Us"), and You.

You must be at least 18 years of age to participate in the Program. By enrolling, You represent and warrant that You meet this age requirement and have the legal capacity to enter into this Agreement.

2. Program Overview

The ChatifyIT Affiliate Partner Program allows You to earn commissions by referring new customers to ChatifyIT. When someone subscribes to ChatifyIT through Your unique affiliate link, You will earn recurring commissions as outlined in this Agreement.

3. Commission Structure

3.1 Commission Rate

You will earn a 40% recurring commission on all subscription payments made by customers You refer to ChatifyIT.

3.2 Commission Calculation

  • Commissions are calculated as 40% of the customer's actual subscription amount
  • If a customer upgrades their plan, Your commission automatically increases to 40% of the new amount
  • If a customer downgrades their plan, Your commission automatically decreases to 40% of the new amount
  • If a customer cancels their subscription, Your commissions cease

3.3 Commission Duration

You will earn commissions for the lifetime of the referred customer's active subscription, subject to Section 12 (Modification of Terms).

4. Payment Terms

4.1 Payment Schedule

Commissions are paid monthly on the 10th of each month, subject to the following conditions:

4.2 Payment Delay

There is a 45-day delay between when a customer makes a payment and when You receive Your commission. This delay covers trial periods and chargeback protection.

Example: If a customer You referred makes a payment on January 15th, You will receive that commission on March 10th (45 days later, paid on the next monthly payout date).

4.3 Minimum Payout Threshold

You must accumulate at least $50 in commissions before a payout is issued.

4.4 Payment Method

Payments are made via PayPal or Wise. You must provide a valid PayPal email address or Wise account information in Your affiliate profile to receive payments.

4.5 Profile Information

You must correctly fill in all required profile information to ensure proper payment processing. Failure to maintain accurate payment information may result in delayed or forfeited payments.

5. Affiliate Tracking & Attribution

5.1 Cookie Duration

When someone clicks Your affiliate link, a tracking cookie is set for 90 days. If they subscribe to ChatifyIT within that 90-day window, You receive credit for the referral.

5.2 Attribution Model

ChatifyIT uses first-touch attribution. The first affiliate whose link a customer clicks receives credit for that customer, even if the customer later clicks another affiliate's link.

5.3 Lifetime Tracking

Once a customer is attributed to You through our Stripe integration, You will continue to earn commissions on that customer for the lifetime of their subscription, regardless of cookie expiration.

6. Prohibited Activities

6.1 Self-Referral Prohibition

STRICTLY PROHIBITED: You are strictly prohibited from using Your own affiliate link to purchase ChatifyIT for: Yourself, Your business, any company, account, or entity You own or control, or any person or entity acting on Your behalf.

Violation of this provision will result in immediate termination of Your affiliate account and forfeiture of all commissions, including any unpaid commissions.

6.2 Fraudulent Activities

The following activities are strictly prohibited:

  • Cookie stuffing or manipulation
  • Using fraudulent credit cards
  • Creating multiple accounts to exploit the system
  • Signing up with different email addresses to steal other affiliates' referrals
  • Any attempt to trick or manipulate the tracking system

6.3 Spam & Unsolicited Communications

You may not:

  • Send spam or unsolicited emails to promote ChatifyIT
  • Use purchased, rented, or insecure email lists
  • Engage in any email marketing that violates CAN-SPAM, CASL, or GDPR regulations

6.4 Negative or Misleading Promotions

You may not:

  • Use words like "scam," "fraud," or similar negative terms in Your promotions
  • Make false or misleading claims about ChatifyIT
  • Provide inaccurate information about ChatifyIT's features, pricing, or capabilities

6.5 Cash Refunds Prohibited

You may not offer cash refunds or other financial incentives to customers who purchase through Your affiliate link.

6.6 Content Restrictions

You may not:

  • Copy or repurpose ChatifyIT's non-promotional content without permission
  • Use ChatifyIT's materials in violation of copyright or trademark law
  • Promote ChatifyIT in connection with obscene, indecent, unlawful, or inappropriate content

7. Trademark Usage

7.1 Limited License

You may use the "ChatifyIT" name and approved promotional materials solely for the purpose of promoting ChatifyIT as part of the Affiliate Partner Program.

7.2 Restrictions

You may not:

  • Use ChatifyIT's trademarks to imply endorsement, sponsorship, or approval of Your other products or services
  • Use ChatifyIT's trademarks in a misleading manner
  • Use ChatifyIT's trademarks in violation of applicable law
  • Use competitor trademarks in Your ChatifyIT promotions

7.3 Compliance

You are solely responsible for ensuring Your promotional materials comply with all applicable copyright, trademark, and advertising regulations.

8. FTC Disclosure Requirements

You must comply with all Federal Trade Commission (FTC) guidelines regarding endorsements and testimonials. You must clearly and conspicuously disclose Your affiliate relationship with ChatifyIT in any promotional content.

Example disclosure: "This post contains affiliate links. I may earn a commission if you purchase through my link."

9. Relationship Between Parties

9.1 Independent Contractor

You and ChatifyIT are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, sales representative, or employment relationship.

9.2 Non-Exclusive

This Agreement does not create an exclusive relationship. Both You and ChatifyIT may work with other parties and recommend similar products and services.

10. Termination

10.1 Termination by Either Party

Either You or ChatifyIT may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Email notice to the address on record is considered sufficient.

10.2 Effect of Termination

Upon termination:

  • Your affiliate link will be deactivated
  • You will no longer earn commissions on new referrals
  • You will continue to earn commissions on existing customers You referred (subject to Section 10.4)

10.3 Termination for Violation

If ChatifyIT terminates Your account due to violation of these Terms, You will forfeit all unpaid commissions, including commissions that would otherwise be due.

10.4 Sale or Acquisition of ChatifyIT

In the event ChatifyIT is sold, acquired, or undergoes a change in ownership:

  • The Affiliate Partner Program will terminate immediately
  • Final commission payments will be issued within 60 days of the transaction close date
  • Only commissions earned prior to the transaction date will be paid

11. Account Responsibilities

11.1 Accurate Information

You are responsible for:

  • Maintaining accurate profile and payment information
  • Ensuring Your affiliate links are correctly formatted
  • Monitoring Your own affiliate dashboard for performance data

11.2 Link Formatting

ChatifyIT is not responsible for lost commissions due to incorrectly formatted affiliate links.

12. Modification of Terms

12.1 Right to Modify

ChatifyIT reserves the right to modify the commission structure, payment terms, or any other aspect of this Agreement at any time.

12.2 Notice Requirement

ChatifyIT will provide 30 days written notice (via email to Your registered email address) before any material changes take effect.

12.3 Effect of Changes

Changes will apply to all affiliates, including commissions on existing referrals. If You do not agree to the modified terms, You may terminate this Agreement as outlined in Section 10.

13. Limitation of Liability

13.1 No Guarantees

ChatifyIT makes no guarantees regarding:

  • The amount of commissions You will earn
  • The availability or uptime of the ChatifyIT platform
  • The continued operation of the Affiliate Partner Program

13.2 Limitation

In no event shall ChatifyIT's liability to You exceed the total amount of commissions paid to You under this Agreement.

14. Refunds and Chargebacks

14.1 Refund Adjustments

If a customer You referred receives a refund, the corresponding commission will be deducted from Your account balance or future payments.

14.2 Chargeback Protection

The 45-day payment delay protects against chargebacks. If a chargeback occurs after You have been paid, ChatifyIT reserves the right to deduct that amount from future commission payments.

15. Confidentiality

You agree to keep confidential any non-public information about ChatifyIT, its customers, or its business operations that You may learn through participation in the Program.

16. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

17. Dispute Resolution

Any disputes arising under this Agreement shall be resolved through binding arbitration in Orlando, Florida, in accordance with the rules of the American Arbitration Association.

18. Entire Agreement

This Agreement constitutes the entire agreement between You and ChatifyIT regarding the Affiliate Partner Program and supersedes all prior agreements or understandings.

19. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
