1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Leveraging AI, LLC ("Company," "we," "us," or "our"), operating as Chatify IT, governing your access to and use of our AI chat agent platform at chatifyit.com (the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Chatify IT is a software-as-a-service (SaaS) platform that enables users to:
- Create AI-powered chat agents
- Integrate with third-party APIs
- Deploy chat widgets on websites
- Collect leads and email addresses from end users
- Export collected data for marketing purposes
The Service is designed for lead generation and customer engagement purposes.
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the Service. By registering, you represent that you meet these requirements.
3.2 Account Responsibilities
You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
4. Subscription & Payment
4.1 Free Trial
We offer a 10-day free trial. No credit card is required to start your trial. You will not be charged until you choose to subscribe to a paid plan.
4.2 Billing
- Subscriptions are billed monthly or annually in advance
- Payment is processed securely through Stripe
- All fees are non-refundable except as required by law
- You may cancel your subscription at any time through your account dashboard
4.3 Price Changes
We may change our prices with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Acceptable Use
You agree NOT to use the Service to:
- Violate any applicable laws or regulations
- Send spam, unsolicited messages, or violate anti-spam laws (CAN-SPAM, CASL, GDPR)
- Collect data without proper consent or legal basis
- Harass, abuse, or harm others
- Distribute malware, viruses, or harmful code
- Impersonate others or misrepresent your identity
- Engage in any fraudulent or deceptive practices
- Violate intellectual property rights of others
- Attempt to gain unauthorized access to our systems
- Use the Service for any illegal or unauthorized purpose
Important: You are solely responsible for ensuring your use of collected leads complies with all applicable email marketing laws, including CAN-SPAM, CASL, and GDPR. We provide tools for lead collection; compliance is your responsibility.
6. Your Responsibilities
6.1 Lead Collection Compliance
When using our Service to collect leads, you are responsible for:
- Obtaining proper consent from end users before collecting their data
- Providing clear notice about how you will use collected information
- Honoring unsubscribe requests promptly
- Maintaining records of consent as required by law
- Complying with all applicable privacy and marketing laws
6.2 Content Responsibility
You are solely responsible for all content, prompts, and configurations you create within your chat agents. This includes ensuring your agents do not produce harmful, misleading, or illegal content.
7. Intellectual Property
7.1 Our Property
The Service, including all software, designs, trademarks, and content created by us, is owned by Leveraging AI, LLC and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.
7.2 Your Content
You retain ownership of content you create using the Service (agent configurations, prompts, collected data). You grant us a limited license to use this content solely to provide the Service to you.
7.3 Feedback
If you provide feedback or suggestions about the Service, we may use them without any obligation to you.
8. Privacy & Data
Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services
The Service integrates with third-party services including:
- OpenAI: For AI-powered chat responses
- Third-party APIs: For enhanced functionality (weather, stocks, etc.)
- Stripe: For payment processing
Your use of these integrations may be subject to additional terms. We are not responsible for third-party services.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with reasonable notice when possible)
- Emergency repairs or updates
- Factors beyond our control
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, or error-free
- AI-generated responses will be accurate or appropriate
- Any errors will be corrected
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEVERAGING AI, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or data
- Business interruption
- Cost of substitute services
- Any damages arising from your use of the Service
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Leveraging AI, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or chat agent configurations
- Your collection and use of leads
14. Termination
14.1 By You
You may cancel your subscription and terminate your account at any time through your account dashboard or by contacting us.
14.2 By Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay applicable fees
- Harm other users or the Service
14.3 Effect of Termination
Upon termination:
- Your access to the Service will end
- Your data will be retained for 30 days, then deleted
- You may export your data before termination
- Accrued payment obligations remain due
15. Modifications to Terms
We may modify these Terms at any time. We will provide notice of material changes by:
- Posting updated Terms on this page
- Updating the "Last Updated" date
- Sending email notification for significant changes
Continued use of the Service after changes constitutes acceptance of the modified Terms.
16. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. The Service is operated from the United States, and we make no representation that it is appropriate or available for use in other locations.
17. Dispute Resolution
17.1 Informal Resolution
Before filing any formal dispute, you agree to contact us at legal@chatifyit.com and attempt to resolve the dispute informally for at least 30 days.
17.2 Arbitration Agreement
Any dispute, claim, or controversy arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
- Arbitration shall take place in Orlando, Florida (or remotely)
- The arbitrator's decision shall be final and binding
- Judgment may be entered in any court of competent jurisdiction
17.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
17.4 Exceptions
Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.
18. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our consent. We may assign freely.
- Force Majeure: We are not liable for delays caused by circumstances beyond our control.
